Minutes and Motions

The Motion to “suspend” the WBCCI charter of the Sierra Nevada Unit was presented at the IBT meeting in Lewisburg, WV on June 24, 2016. “The motion made by Mr. Smithson (to suspend the SNU charter) was out of order because it did not follow the process defined in our (the WBCCI) Constitution. The motion has been withdrawn.

The motion was submitted with the SNU letter to the chair of the 2007 CBL committee. The letter provides a summary of SNU bylaws revisions and why they were undertaken. The letter notes that “None of these changes will modify the way the SNU does business. They just simplify the documents.” A copy of the SNU 2007 bylaws was also included. The current bylaws, which were updated with suggestions from the 2016 CBL committee and approved by the SNU membership in March 2016 were not included.

The motion states that the 2007 bylaws were not accepted but there is no record of any complaint about WBCCI requirements not met by the SNU bylaws. There is reference to “significant omissions in the SNU document but the correspondence record and the motion are both silent on what these might be.

There is a Financial Impact suggested in that the alleged SNU non compliance puts WBCCI tax exempt status in jeopardy. That would only occur if “purposes and activities” were not in accord with those of the WBCCI. As noted to Trustees, what does put the tax exempt status in jeopardy is blatant non compliance with WBCCI Bylaws Article VII in that many Unit officer and standing committee positions are not properly filled and it is these positions that are responsible for accomplishing the purposes and activities of the Unit in accord with the WBCCI tax exemption requirements. The SNU is in full compliance with its Bylaws and those Bylaws include by reference the purposes and activities of the WBCCI and therefore, the SNU is not a threat to the tax exempt status of the WBCCI..

Also missing in the minutes is any reference to necessary remedies for Trustees not following their governance documents, Trustee mismanagement of unit submissions, failure of Trustees to accomplish duties in a timely manner, and Trustee adherence to the WBCCI Code of Ethics and behavior standards. Remedies for these issues are necessary to maintain corporate status benefits for the organization.
